The COVID-19  and the containment measures imposed by national governments are negatively affecting the ability of companies, especially Chinese and Italian ones, to fulfill their commercial obligations and contracts.

The current scenario  is complex, involving several subjects in different countries: the final sellers, suppliers, and producers, who could invoke a contractual breach due to force majeure.

However, when can the force majeure clause be applied? Does the Pandemic automatically allow the parties of the contract to call for the force majeure clause?

Il coronavirus COVID-19 e le misure di contenimento imposte dai governi nazionali stanno influenzando negativamente la capacità delle aziende, soprattutto quelle cinesi e italiane, di adempiere ai contratti commerciali sottoscritti.

Lo scenario che si prospetta è alquanto complesso, coinvolgendo più soggetti in Paesi diversi: i venditori finali, i fornitori e i produttori i quali potrebbero invocare l’inadempimento contrattuale per causa di forza maggiore.

In concreto, ci si domanda su quali basi giuridiche possa essere invocata la causa di forza maggiore in una vendita internazionale e, nello specifico, se la Pandemia possa realmente costituire una causa di forza maggiore che esoneri da responsabilità contrattuali e a quali condizioni.
