What documents are needed to dissolve a company in Vietnam?
Q&AThe owner of the company will need to issue a statement of the decision of dissolution, which must include:
- Company name;
- Head office address;
- Business registration number;
- Reason(s) for dissolution;
- Deadlines and procedures to work out the liquidation of loans and contracts of the company;
- Solutions for any obligations arising from labor contracts.
Then, the declaration of the dissolution of the company must be published in the same newspaper, which is distributed throughout Vietnam and is submitted to the business/ investment registration agencies, for three consecutive months.
This declaration must consist of:
- The dissolved company’s name;
- Transaction name;
- Head office address;
- Business telephone number;
- Name of legal representative(s); and
- Reason(s) for dissolution.
